I. Acceptance of Terms

System Administration: Ensuring the optimal performance, security, and reliability of IT systems through the management, maintenance, and monitoring of servers, databases, and applications.

Network Administration: Designing, implementing, and maintaining secure and efficient network infrastructures, including local area networks (LANs), wide area networks (WANs), and virtual private networks (VPNs). This includes network security, troubleshooting, and performance optimization.

Web Administration: Managing and securing web servers and websites, ensuring they are accessible, efficient, and protected from cyber threats. This includes website performance monitoring, content updates, and vulnerability management.

AI Administration: Overseeing the deployment, maintenance, and security of artificial intelligence systems and applications. This includes managing AI model training, data integrity, and ensuring compliance with ethical and legal standards.

Cybersecurity: Protecting digital assets and information systems from cyber threats. Our cybersecurity services encompass threat detection and prevention, incident response, vulnerability assessments, penetration testing, compliance audits, and employee training on security best practices.

Physical Security: Providing on-site security personnel and services to protect physical assets and personnel. This includes crowd control specialists, private security officers, armed security professionals, and private tactical teams for high-risk environments.

Consulting Services: Offering expert advice and strategic planning to enhance the overall security posture of our clients. Our consulting services cover risk assessments, security audits, policy development, and the implementation of comprehensive security solutions tailored to the unique needs of each client.

Additional Specialized Services:

Private Investigations: Conducting thorough investigations into personal, legal, and financial matters using surveillance, research, and analysis to uncover critical information.

Forensic Analysis: Applying scientific techniques to analyze physical, digital, and chemical evidence for legal cases and corporate investigations. This includes digital forensics, DNA analysis, and chemical substance evaluation.

Emergency Response: Rapidly addressing security incidents and emergencies with trained personnel equipped to manage crises effectively and efficiently.

Customized Service Agreements:

The specific scope of services provided to each client will be detailed in a tailored service agreement. This agreement will outline the precise nature of the services to be rendered, the expected deliverables, timelines, and any other pertinent details relevant to the client’s unique security needs. Each service agreement will be crafted to ensure clarity, mutual understanding, and alignment with the client’s security objectives.

Limitation of Liability:

To the maximum extent permitted by applicable law, Battle Horne Security Incorporated shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

The use or inability to use our services.

Unauthorized access to or alteration of your transmissions or data.

Statements or conduct of any third party on the service.

Any other matter relating to the services provided.

In no event shall the aggregate liability of Battle Horne Security Incorporated exceed the amount paid by you for the specific service giving rise to the claim. This limitation of liability applies regardless of the form of action, whether based on warranty, contract, statute, tort (including negligence), or otherwise.

Modifications and Amendments:

We reserve the right to modify the range of services offered based on evolving security trends, technological advancements, and regulatory changes. Any modifications to the scope of services will be communicated to clients in advance and will be reflected in updated service agreements as necessary.

By engaging our services, clients agree to the terms outlined in their specific service agreement and acknowledge the comprehensive nature of the security solutions provided by Battle Horne Security Incorporated.

II. Services Provided

By engaging the services of Battle Horne Security Incorporated ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by the following Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Battle Horne Security Incorporated. By accessing or using our services, you acknowledge that you have read, understood, and agree to comply with these Terms. If you do not agree with these Terms, you should not engage our services or use any related offerings.

These additional terms and conditions are hereby incorporated by reference into these Terms. In the event of any conflict between these Terms and any additional terms, the additional terms shall prevail.

By agreeing to these Terms, you also represent and warrant that you have the legal authority to bind the entity or organization on behalf of which you are using the services, if applicable. If you do not have such authority, you must not accept these Terms or use the services on behalf of such entity or organization.

Our services encompass a wide range of security solutions, including but not limited to:

Crowd Control Specialists: Ensuring order and safety at large-scale events.

Private Security Officers: Providing protection services for private properties and individuals.

Armed Security Professionals: Offering armed protection for high-risk environments.

Private Investigators: Conducting in-depth investigations for various legal and personal matters.

Private Forensics Experts: Applying scientific techniques to analyze evidence in legal situations.

Cybersecurity Professionals: Protecting digital infrastructures and information from cyber threats.

Private Tactical Teams (Private TAC): Operating in high-risk environments to provide advanced protection and crisis response.

Clients engaging the services of Battle Horne Security Incorporated ("Company," "we," "us," or "our") are required to adhere to the following responsibilities to ensure the effective and efficient delivery of our services. By utilizing our services, you ("Client," "you," or "your") agree to the following terms:

Accurate and Complete Information

Provision of Information: Clients must provide accurate, complete, and timely information necessary for the performance of our services. This includes but is not limited to details about the premises, systems, personnel, and any other relevant aspects that may impact the delivery of our services.

Updates to Information: Clients are responsible for promptly informing us of any changes or updates to the information provided. Failure to provide accurate or updated information may affect the quality and efficacy of our services, and the Company shall not be held liable for any issues arising from such failure.

Cooperation and Access

Cooperation: Clients agree to cooperate fully with our team throughout the duration of our service engagement. This includes, but is not limited to, facilitating meetings, responding to inquiries, and providing necessary documentation or data in a timely manner.

Access to Premises and Systems: Clients must provide the Company with reasonable access to their premises, systems, and any other necessary resources required to perform the services. This includes granting access to relevant areas, equipment, software, and networks, as well as ensuring that any third-party consents or authorizations required for access are obtained in advance.

Work Environment: Clients must ensure that the work environment is safe and suitable for our personnel to perform their duties. This includes compliance with all applicable health and safety regulations and standards.

Compliance with Laws and Regulations

Legal Compliance: Clients are responsible for ensuring that their use of our services complies with all applicable local, state, national, and international laws and regulations. The Company shall not be liable for any legal issues arising from the Client's failure to comply with such laws and regulations.

Data Protection: Clients must ensure that any data shared with us complies with applicable data protection and privacy laws. The Company shall not be liable for any breaches of data protection laws resulting from the Client's failure to comply with such requirements.

Limitation of Liability

Indemnification: Clients agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to the Client's breach of these responsibilities, negligence, or willful misconduct.

Assumption of Risk: Clients acknowledge and assume all risks associated with providing access to their premises and systems. The Company shall not be liable for any damages or losses incurred as a result of the Client's failure to comply with these responsibilities or any unauthorized third-party access.

Confidentiality and Security

Confidential Information: Clients are responsible for safeguarding any confidential information shared with us during the course of our engagement. The Company will take reasonable steps to protect such information, but shall not be held liable for any unauthorized disclosure or breach of confidentiality resulting from the Client's failure to maintain adequate security measures.

Security Measures: Clients must implement and maintain appropriate security measures to protect their systems and data. The Company shall not be liable for any security breaches or incidents arising from the Client's failure to implement such measures.

Communication and Feedback

Timely Communication: Clients must communicate

any concerns, issues, or feedback regarding our services promptly to enable us to address and resolve them in a timely manner. Failure to communicate such concerns may affect the quality of our services, and the Company shall not be held liable for any resulting issues.

By engaging the services of Battle Horne Security Incorporated, clients acknowledge and agree to these responsibilities. Failure to comply with these responsibilities may result in the suspension or termination of services, and the Company reserves the right to seek legal remedies for any damages or losses incurred as a result of the Client's non-compliance.

III. Client Responsibilities

Battle Horne Security Incorporated ("Company," "we," "us," or "our") has established the following payment terms to ensure clarity and mutual agreement regarding the financial aspects of our services. By engaging our services, you ("Client," "you," or "your") agree to comply with these payment terms as outlined below:

Deposit and Administrative Fees

Deposit Requirement: A deposit of 10% of the total service charge is required within 48 hours of signing the provisional contract. This deposit secures your scheduled service and allows us to allocate the necessary resources.

Administrative Fees: An administrative fee of 15% of the total service charge is also due within 48 hours of signing the provisional contract. This fee covers the costs associated with preparing and managing your service agreement and ensuring that all necessary arrangements are in place before services are rendered.

Combined Initial Payment: Both the deposit and administrative fees must be paid within 48 hours of signing the provisional contract. Failure to make these payments within the specified timeframe may result in the cancellation of the provisional contract and forfeiture of the scheduled service date.

Service Charges and Invoicing

Service Charges: The total service charge, as specified in the individual service agreement, reflects the comprehensive cost of the services to be provided. This includes all labor, materials, equipment, and any other expenses necessary for the successful completion of the services.

Invoicing: Invoices for the remaining balance of the service charge, after deducting the deposit and administrative fees, will be issued upon completion of the services unless otherwise specified in the service agreement. Invoices are payable within 30 days of receipt unless an alternative payment schedule is agreed upon in writing.

Late Payments: Payments not received within the 30-day period (or agreed-upon alternative period) may incur interest charges as specified in the individual service agreement. The interest rate will be calculated based on the terms outlined in the agreement and will accrue daily until the outstanding balance is paid in full.

Cancellation and Fees

Cancellation Policy: Clients may cancel the service contract by providing written notice to the Company at least 72 hours prior to the scheduled service time. Cancellations made within this timeframe will result in the following fees:

Cancellation Fee: A fee of 25% of the total service charge to compensate for the disruption and reallocation of resources.

Administrative Fee: An additional fee of 7.62% of the total service charge to cover administrative costs associated with the cancellation.

Failure to Cancel in Time: Cancellations made less than 72 hours before the scheduled service time will result in the forfeiture of the deposit and administrative fees already paid, and the client may be liable for the full service charge if the Company is unable to reallocate the resources to another client.

Dispute Resolution

Payment Disputes: Any disputes regarding invoices or payments must be communicated to the Company in writing within 10 days of the invoice date. The Company will review and respond to the dispute promptly. Clients are required to pay any undisputed portions of the invoice by the original due date.

Legal Remedies: In the event of non-payment or unresolved payment disputes, the Company reserves the right to seek legal remedies to recover the outstanding amounts. Clients agree to reimburse the Company for any legal fees, court costs, and other expenses incurred in the process of recovering owed amounts.

Modifications and Amendments

Payment Term Changes: The Company reserves the right to modify these payment terms at any time. Any changes will be communicated to clients in writing and will be effective for future service agreements. Clients who do not agree to the modified terms may terminate their service agreement in accordance with the cancellation policy.

By engaging the services of Battle Horne Security Incorporated, clients acknowledge and agree to these payment terms. Failure to comply with these terms may result in the suspension or termination of services and the pursuit of legal remedies by the Company to recover any outstanding amounts.

IV. Payment Terms

Limitation of Liability

Exclusion of Damages: To the maximum extent permitted by applicable law, Battle Horne Security Incorporated ("Company," "we," "us," or "our") shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

Your use of our services.

Any unauthorized access to or use of our servers and/or any personal information stored therein.

Any interruption or cessation of transmission to or from our services.

Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party.

Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the services.

Cap on Liability: In no event shall the aggregate liability of the Company exceed the amount paid by you for the specific service giving rise to the claim. This limitation of liability applies regardless of the form of action, whether based on warranty, contract, statute, tort (including negligence), or otherwise, and even if the Company has been advised of the possibility of such damages.

No Warranty: The services are provided on an "as is" and "as available" basis. The Company makes no representations or warranties of any kind, express or implied, as to the operation of the services, or the information, content, or materials included therein. To the fullest extent permissible by applicable law, the Company disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

Indemnification

Indemnification Obligations: You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

Your use of and access to the services.

Your violation of any term of these Terms.

Your violation of any third-party right, including without limitation any right of privacy or intellectual property rights.

Your violation of any law, rule, or regulation of the United States or any other country.

Any claim or damages that arise as a result of any of your user content or any that is submitted via your account.

Any other party's access and use of the services with your unique username, password, or other appropriate security code.

Limitation of Claims

Time Limitation: Any claim or cause of action arising out of or related to the use of the services or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.

Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the state in which the Company is headquartered, without regard to its conflict of law principles.

Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in the state in which the Company is headquartered before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures.

Class Action Waiver: You and the Company agree that any arbitration shall be conducted in your individual capacities only and not as a class action or other representative action, and you and the Company expressly waive your right to file a class action or seek relief on a class basis.

Miscellaneous

Severability: If any provision of these Terms is found to be invalid or unenforceable by an arbitrator or a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms, which will otherwise remain in full force and effect.

Entire Agreement: These Terms constitute the entire agreement between you and the Company regarding the use of the services and supersede any prior agreements between you and the Company relating to your use of the services.

Modifications: The Company reserves the right to modify or replace these Terms at any time. Any changes will be effective immediately upon posting to our website or upon notice to you. Your continued use of the services after any such changes constitutes your acceptance of the new Terms. If you do not agree with any changes to the Terms, you must cease using the services immediately.

By engaging the services of Battle Horne Security Incorporated, clients acknowledge and agree to these liability and indemnification terms. Failure to comply with these terms may result in legal action and the pursuit of damages or other remedies by the Company.

VII. Liability and Indemnification

Battle Horne Security Incorporated ("Company," "we," "us," or "our") is deeply committed to protecting the confidentiality of the information you ("Client," "you," or "your") provide to us. This section outlines the terms and conditions regarding the handling of confidential information to ensure its security and integrity.

Definition of Confidential Information

Confidential Information: For the purposes of this agreement, "Confidential Information" refers to all non-public information disclosed by either party (the "Disclosing Party") to the other party (the "Receiving Party") that:

Is identified as confidential at the time of disclosure.

A reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Includes, but is not limited to, business plans, financial information, customer data, proprietary methods, trade secrets, technical data, research, product plans, software, and other information related to the business operations of the Disclosing Party.

Obligations of Confidentiality

Non-Disclosure: Both parties agree not to disclose any Confidential Information to third parties without the prior written consent of the Disclosing Party, except as permitted under this agreement.

Use of Confidential Information: The Receiving Party agrees to use the Confidential Information solely for the purpose of fulfilling its obligations under this agreement and not for any other purpose.

Standard of Care: The Receiving Party shall protect the Confidential Information with the same degree of care it uses to protect its own confidential and proprietary information, but in no event with less than a reasonable standard of care.

Permitted Disclosures

Authorized Disclosures: Confidential Information may be disclosed to employees, contractors, agents, or advisors of the Receiving Party who need to know such information for the purpose of performing obligations under this agreement, provided that:

Such persons are informed of the confidential nature of the information.

Such persons are bound by confidentiality obligations at least as protective as those set forth in this agreement.

Legal Requirements: If the Receiving Party is required by law, regulation, or legal process to disclose any Confidential Information, it shall:

Promptly notify the Disclosing Party of such requirement.

Cooperate with the Disclosing Party, at the Disclosing Party's expense, in seeking a protective order or other appropriate remedy to prevent or limit such disclosure.

Exclusions from Confidentiality

Exclusions: Confidential Information does not include information that:

Was in the public domain at the time it was disclosed or becomes publicly available through no fault of the Receiving Party.

Was known to the Receiving Party, without restriction, at the time of disclosure, as demonstrated by files in existence at the time of disclosure.

Is disclosed with the prior written approval of the Disclosing Party.

Becomes known to the Receiving Party, without restriction, from a source other than the Disclosing Party without breach of this agreement by the Receiving Party and otherwise not in violation of the Disclosing Party's rights.

Return or Destruction of Confidential Information

Return/Destruction: Upon termination of the agreement or at the request of the Disclosing Party, the Receiving Party shall promptly:

Return all copies of Confidential Information to the Disclosing Party.

Destroy all copies of Confidential Information in its possession or control and certify such destruction in writing to the Disclosing Party.

Limitation of Liability

Indemnification: The Client agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to the unauthorized use or disclosure of Confidential Information by the Client or its representatives.

No Warranties: All Confidential Information is provided "as is" and the Company makes no warranties, express, implied, or otherwise, regarding the accuracy, completeness, or performance of the Confidential Information.

Duration of Confidentiality Obligations

Duration: The confidentiality obligations set forth in this agreement shall commence upon the date of disclosure of the Confidential Information and shall continue for a period of five (5) years from the date of termination of the service agreement between the parties.

Miscellaneous

Survival: The provisions of this section shall survive the termination or expiration of this agreement.

Equitable Relief: The Receiving Party acknowledges that any unauthorized use or disclosure of the Confidential Information may cause irreparable harm to the Disclosing Party for which damages may not be an adequate remedy. Therefore, the Disclosing Party shall be entitled to seek equitable relief, including injunctive relief, in addition to all other remedies available at law or in equity.

Governing Law: This confidentiality agreement shall be governed by and construed in accordance with the laws of the state in which Battle Horne Security Incorporated is headquartered, without regard to its conflict of law principles.

By engaging the services of Battle Horne Security Incorporated, clients acknowledge and agree to these confidentiality terms. Any breach of these terms may result in legal action and the pursuit of damages or other remedies by the Company.

V. Confidentiality

Choice of Law

Applicable Law: These Terms of Service ("Terms"), as well as any disputes arising out of or relating to these Terms or the services provided by Battle Horne Security Incorporated ("Company," "we," "us," or "our"), shall be governed by and construed in accordance with the laws of the state in which the Company is headquartered, without regard to its conflict of law principles.

Jurisdiction and Venue

Exclusive Jurisdiction: The parties agree that any legal action or proceeding arising under or relating to these Terms or the services provided by the Company shall be brought exclusively in the state or federal courts located in the state in which the Company is headquartered. The parties consent to the personal jurisdiction and venue of such courts and waive any objections based on inconvenient forum or lack of personal jurisdiction.

Waiver of Jury Trial

Jury Trial Waiver: To the maximum extent permitted by applicable law, the parties hereby waive their right to a trial by jury in any legal action or proceeding arising out of or relating to these Terms or the services provided by the Company. This waiver is a material inducement for the parties to enter into these Terms and to engage in the transactions contemplated hereby.

Equitable Relief

Equitable Remedies: Notwithstanding any other provisions of these Terms, the parties acknowledge and agree that any breach or threatened breach of the confidentiality, intellectual property, or other proprietary rights provisions of these Terms may cause irreparable harm for which monetary damages would not be an adequate remedy. Accordingly, the non-breaching party shall be entitled to seek injunctive or other equitable relief to enforce such provisions without the necessity of posting a bond or proving actual damages.

Attorney's Fees and Costs

Recovery of Fees: In the event of any dispute arising out of or relating to these Terms or the services provided by the Company, the prevailing party shall be entitled to recover its reasonable attorney's fees, court costs, and other expenses incurred in connection with the dispute, in addition to any other relief to which it may be entitled.

Statute of Limitations

Time Limitation: Any claim or cause of action arising out of or relating to these Terms or the services provided by the Company must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred. This limitation period does not apply to claims for indemnification, breach of confidentiality, or intellectual property infringement.

Severability

Severability Clause: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms, which shall remain in full force and effect. The parties shall negotiate in good faith to replace the invalid, illegal, or unenforceable provision with a valid, legal, and enforceable provision that achieves, as nearly as possible, the original intent and economic effect of the severed provision.

Entire Agreement

Entire Agreement: These Terms, together with any service agreements, appendices, or other documents incorporated by reference, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, representations, and warranties, whether written or oral.

Amendments

Modification of Terms: The Company reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting to our website or upon notice to you. Your continued use of our services after any such changes constitutes your acceptance of the new Terms. If you do not agree with any changes to the Terms, you must cease using our services immediately.

Notices

Notice Requirements: All notices required or permitted under these Terms shall be in writing and shall be deemed to have been duly given when delivered by hand, certified mail, return receipt requested, or by a recognized express courier service, to the addresses specified in the service agreement or as otherwise designated by the parties in writing. Notices shall be deemed received upon confirmation of delivery.

By engaging the services of Battle Horne Security Incorporated, clients acknowledge and agree to these governing law terms. Failure to comply with these terms may result in legal action and the pursuit of damages or other remedies by the Company.

IX. Governing Law

Ownership of Intellectual Property

Proprietary Rights: All intellectual property rights, including but not limited to methodologies, software, processes, designs, data, reports, documents, inventions, patents, trademarks, service marks, copyrights, trade secrets, and any other

proprietary materials (collectively, "Intellectual Property") used, created, or developed by Battle Horne Security Incorporated ("Company," "we," "us," or "our") in the course of providing services to you ("Client," "you," or "your") are and shall remain the exclusive property of the Company, unless otherwise explicitly agreed upon in writing by both parties.

License to Use

Limited License: Subject to the terms and conditions of this agreement, the Company grants the Client a non-exclusive, non-transferable, non-sublicensable, revocable license to use the Intellectual Property solely for the purposes specified in the individual service agreement and only for the duration of the service engagement. This license does not grant the Client any rights to modify, distribute, copy, or otherwise exploit the Intellectual Property without the prior written consent of the Company.

Restrictions on Use

Prohibited Actions: The Client agrees not to:

Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying ideas of any software or methodologies provided by the Company.

Remove, alter, or obscure any proprietary notices, labels, or marks on any Intellectual Property.

Use the Intellectual Property for any purpose other than as expressly permitted under this agreement.

Transfer, assign, lease, lend, or sublicense the Intellectual Property to any third party without the prior written consent of the Company.

Custom Developments

Custom Work: Any custom developments, enhancements, modifications, or adaptations (collectively, "Custom Developments") made to the Intellectual Property at the request of the Client shall be owned exclusively by the Company, unless otherwise agreed upon in writing. The Client shall have a limited license to use such Custom Developments solely for their internal business purposes and only in accordance with the terms of this agreement.

Intellectual Property Infringement

Infringement Claims: The Company shall defend, indemnify, and hold harmless the Client from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from any third-party claim that the Intellectual Property infringes upon any patent, copyright, trademark, or other proprietary rights of a third party, provided that:

The Client promptly notifies the Company in writing of the claim.

The Company has sole control over the defense and settlement of the claim.

The Client cooperates fully with the Company in the defense of the claim.

Limitation of Liability

Disclaimer of Warranties: The Intellectual Property is provided "as is" and the Company makes no warranties, express, implied, or otherwise, regarding the accuracy, completeness, merchantability, fitness for a particular purpose, or performance of the Intellectual Property.

Limitation of Liability: To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from the Client's use of the Intellectual Property.

Indemnification: The Client agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to the Client's unauthorized use of the Intellectual Property.

Termination of License

Termination: Upon termination or expiration of the service agreement, the Client's license to use the Intellectual Property shall immediately cease. The Client agrees to return or destroy all copies of the Intellectual Property in their possession or control and certify such destruction in writing to the Company.

Miscellaneous

Governing Law: This intellectual property agreement shall be governed by and construed in accordance with the laws of the state in which Battle Horne Security Incorporated is headquartered, without regard to its conflict of law principles.

Survival: The provisions of this section shall survive the termination or expiration of this agreement.

Equitable Relief: The Client acknowledges that any unauthorized use or disclosure of the Intellectual Property may cause irreparable harm to the Company for which damages may not be an adequate remedy. Therefore, the Company shall be entitled to seek equitable relief, including injunctive relief, in addition to all other remedies available at law or in equity.

By engaging the services of Battle Horne Security Incorporated, clients acknowledge and agree to these intellectual property terms. Any breach of these terms may result in legal action and the pursuit of damages or other remedies by the Company.

VI. Intellectual Property

Termination Rights

Termination for Breach: Either party ("Company," "we," "us," or "our" for Battle Horne Security Incorporated; "Client," "you," or "your" for the client) may terminate the service agreement upon written notice if the other party breaches

any material term of these Terms and fails to remedy the breach within thirty (30) days of receiving written notice specifying the breach in reasonable detail. The non-breaching party must provide the breaching party with written notice of the breach and a reasonable opportunity to cure the breach within the specified thirty (30) day period.

Termination for Convenience: The Company reserves the right to terminate the service agreement for convenience by providing the Client with thirty (30) days' written notice. In such an event, the Company shall refund any prepaid fees for services not yet rendered on a pro-rata basis.

Immediate Termination: The Company may terminate the service agreement immediately, without notice, if the Client:

Becomes insolvent or is unable to pay its debts as they become due.

Files for bankruptcy or is subject to any proceeding related to its liquidation, insolvency, or the appointment of a receiver or trustee.

Engages in conduct that the Company determines, in its sole discretion, to be harmful to its reputation, business, or operations.

Effects of Termination

Outstanding Fees: Upon termination of the service agreement for any reason, all outstanding fees for services rendered up to the date of termination shall become immediately due and payable. The Company will issue a final invoice to the Client, which must be paid in full within fifteen (15) days of receipt.

Return of Property: The Client agrees to return or destroy, at the Company's discretion, any and all Company property, including but not limited to equipment, documentation, and confidential information, within ten (10) days of the termination date. The Client shall certify in writing that all such property has been returned or destroyed.

Revocation of Access: Upon termination, the Company reserves the right to revoke the Client’s access to any services, systems, or software provided under the service agreement. This includes deactivating any login credentials or access rights granted to the Client.

Limitation of Liability

No Liability for Termination: To the maximum extent permitted by applicable law, the Company shall not be liable for any damages, losses, or expenses arising from or related to the termination of the service agreement in accordance with these Terms. This includes, but is not limited to, any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from the termination.

Post-Termination Obligations

Confidentiality: The Client's obligations to maintain the confidentiality of any confidential information disclosed during the term of the service agreement shall survive the termination or expiration of the agreement for a period of five (5) years.

Intellectual Property: The Client's rights to use any Intellectual Property provided under the service agreement shall cease immediately upon termination. The Client agrees to return or destroy any copies of the Intellectual Property in their possession and certify such destruction in writing.

Dispute Resolution

Dispute Resolution: Any disputes arising from or related to the termination of the service agreement shall be resolved in accordance with the dispute resolution provisions set forth in Section VII (Liability and Indemnification) of these Terms.

Miscellaneous

Survival: The provisions of these Terms that by their nature are intended to survive termination or expiration of the service agreement, including but not limited to confidentiality, indemnification, intellectual property, and limitation of liability, shall survive such termination or expiration.

Notices: All notices of termination under this section must be sent in writing and delivered by certified mail, return receipt requested, or by a recognized express courier service to the addresses specified in the service agreement. Notices shall be deemed received upon confirmation of delivery.

VIII. Termination

Comprehensive Integration

Entire Agreement: These Terms of Service ("Terms"), together with any service agreements, appendices, exhibits, schedules, statements of work, and any other documents expressly incorporated by reference herein, constitute the entire agreement ("Agreement") between you ("Client," "you," or "your") and Battle Horne Security Incorporated ("Company," "we," "us," or "our") regarding the use of our services. This Agreement supersedes all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter hereof.

Supersession of Prior Agreements

Supersession: This Agreement replaces and supersedes any and all prior or contemporaneous discussions, negotiations, proposals, agreements, representations, and understandings between the parties with respect to the subject matter hereof. Any such prior agreements, whether written or oral, shall be null and void and of no further force or effect.

No Reliance on External Representations

Independent Basis: Each party acknowledges that it has not relied on any representations, warranties, promises, or statements made by the other party or any other person except as expressly set forth in this Agreement. Each party agrees that it has had the opportunity to consult with legal counsel of its choice before entering into this Agreement.

Amendments and Modifications

Written Modifications: No amendment, modification, waiver, or termination of any provision of this Agreement shall be valid or binding unless it is in writing and signed by an authorized representative of both parties. The Company reserves the right to update or modify these Terms in accordance with Section X (Amendments) of this Agreement.

Severability

Severability Clause: If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of this Agreement, which shall remain in full force and effect. The parties shall negotiate in good faith to replace the invalid, illegal, or unenforceable provision with a valid, legal, and enforceable provision that achieves, as nearly as possible, the original intent and economic effect of the severed provision.

No Waiver

Non-Waiver: No waiver of any provision of this Agreement shall be effective unless made in writing and signed by an authorized representative of the waiving party. The failure of either party to enforce any right or provision of this Agreement shall not constitute a waiver of future enforcement of that right or provision or any other rights or provisions under this Agreement.

Binding Effect

Successors and Assigns: This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors, and permitted assigns. The Client may not assign this Agreement or any of its rights or obligations hereunder without the prior written consent of the Company.

Applicable Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Company is headquartered, without regard to its conflict of law principles. Any disputes arising under or related to this Agreement shall be resolved in accordance with the dispute resolution provisions set forth in Section VII (Liability and Indemnification) of these Terms.

Notice Requirements: All notices required or permitted under this Agreement shall be in writing and shall be deemed to have been duly given when delivered by hand, certified mail, return receipt requested, or by a recognized express courier service, to the addresses specified in the service agreement or as otherwise designated by the parties in writing. Notices shall be deemed received upon confirmation of delivery.

Headings

Headings for Convenience: The headings in this Agreement are for convenience only and shall not affect the interpretation of this Agreement.
